Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of services provided by Leafbit Limited ("Leafbit", "we", "us", "our"), a private limited company registered in England and Wales under company number 16583520, with registered office at 8-10 South Street, Epsom, Surrey, KT18 7PF, United Kingdom. By engaging our services, you agree to be bound by these Terms.
These Terms cover engagements arranged through our website and direct correspondence. Use of the Leafbit customer portal at portal.leafbit.uk is governed by its own separate terms and privacy notice.
2. Services
Leafbit provides technology consulting services including but not limited to web development, mobile solutions, cloud infrastructure, and e-commerce solutions. The specific scope of services will be outlined in individual project agreements.
3. Pricing and Quotations
Any prices, packages, or indicative figures shown on our website, in marketing materials, or in initial conversations are estimates only and are provided for general guidance. They are not a binding offer, do not constitute a contract, and may change at any time without notice.
- Website and marketing prices reflect typical engagements and do not account for the specific scope, complexity, integrations, third-party costs, or timelines of any individual project.
- A formal, written quotation will be issued only after we have reviewed your requirements in sufficient detail, normally through a discovery call, written brief, or scoping exercise.
- Unless stated otherwise on the quotation, formal quotations are valid for 30 days from the date of issue. After this period we may revise pricing to reflect current rates, supplier costs, or availability.
- Quotations are based on the requirements known at the time of issue. Changes to scope, feature requests, additional revisions, expedited timelines, or new third-party services introduced after acceptance may incur additional charges, which will be agreed in writing before the additional work is undertaken.
- Third-party fees (such as hosting, domains, App Store charges, SaaS subscriptions, and licences) are passed through at cost and are separate from our service fees unless we have explicitly stated otherwise.
- Where work is provided on a time-and-materials basis, estimates of total cost are made in good faith but are not a fixed price. Actual fees will be based on time properly spent at the rates set out in the quotation or engagement letter.
- For most new engagements we produce a free initial prototype to demonstrate the proposed solution. The prototype is provided for evaluation only and does not grant any right to use, deploy, modify, or distribute it outside that evaluation. If you choose to proceed with the full build, a deposit of 25% of the accepted quotation is payable before production work begins, with the balance invoiced in line with the project agreement.
4. Client Obligations
Clients agree to:
- Provide accurate and complete information required for project delivery
- Respond to communications in a timely manner
- Make payments according to agreed terms
- Provide necessary access to systems, accounts, and resources as required
- Review and approve deliverables within specified timeframes
5. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- A 25% deposit is invoiced on acceptance of the quotation, with the balance invoiced according to the milestones set out in the project agreement
- Invoices are payable within 30 days of receipt unless otherwise agreed
- Payments are accepted by bank transfer (GBP) to the account details shown on the invoice
- Late payments may incur interest and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, currently 8% above the Bank of England base rate
- We reserve the right to suspend services for non-payment
- Leafbit Limited is not currently registered for UK VAT, so VAT is not charged on our invoices. We will register once turnover approaches the HMRC threshold (currently £90,000); from the effective date of registration, VAT will be added to invoices at the prevailing rate and quotations and orders will be adjusted accordingly
6. Intellectual Property
Upon full payment, clients will own the intellectual property rights to custom work created specifically for them. However:
- We retain rights to pre-existing intellectual property and frameworks
- We may use generic knowledge and experience gained in future projects
- Third-party tools and licences remain subject to their respective terms
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the agreement.
8. Warranties and Liability
We warrant that services will be performed with reasonable skill and care. However:
- We provide no warranty that services will be uninterrupted or error-free
- Our liability is limited to the fees paid for the specific project
- We are not liable for indirect, consequential, or special damages
- Clients are responsible for maintaining backups of their data
9. Termination
Either party may terminate the agreement with written notice. Upon termination, the client must pay for all work completed up to the termination date. Materials and deliverables will be provided only upon full payment.
10. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including acts of God, war, strikes, or technical failures.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
